Overview

Oakfyn supported a technology client in the Advertising Technology sector through the end-to-end acquisition of an AI technology company for USD 55 million. Acting as an embedded CFO Office, we executed the full transaction lifecycle from due diligence to post-merger integration, with the acquired company delivering USD 11.5 million EBITDA in Year 1.

Challenge

The buyer identified a strategically attractive AI target but faced typical buy-side execution constraints: insufficient internal finance bandwidth, need for integrated commercial/legal/financial diligence, requirement for robust SPA with earn-out mechanism, and post-signing change management with IFRS-compliant accounting.

Solution

We joined as a dedicated CFO Office extension providing program leadership across the full deal lifecycle. We designed and ran comprehensive due diligence, reviewed contracts and supported SPA negotiations including earn-out structuring, established integration governance with change management, and executed IFRS Purchase Price Allocation with first consolidation support.
